Reserve capital

A company may pass a special resolution stating that a portion of its capital not already called up shall not be capable of being called up except in the event of the company’s being wound up. This capital is called the reserve capital and sometimes reserve liability. It cannot be turned into ordinary capital without permission of a court and it cannot be charged by the directors.
